THE OPPORTUNITY

As ActBlue welcomes a new President & CEO, the organization is also poised to welcome a new General Counsel to succeed a leader who will be departing after 15 years of service. The General Counsel advises the CEO and the leadership team and manages all legal issues, compliance, tax, legislative matters, regulatory activities, and governance and policy related functions related to the organization’s important work. ActBlue is seeking a proactive and strategic leader who can bring a collaborative approach to the unique legal needs of an organization building critical technology infrastructure for Democrats, progressive nonprofits, and the donors that fuel their work.

ActBlue has scaled its tools, teams, and services to match demand while also laying a foundation for the future by investing in data work, cross-organizational workstreams, and dialogues with the changemakers using our tools daily.

WHAT YOU WILL DO

The General Counsel will report to the President & CEO and work with over 300 dedicated and high-performing staff members and a devoted board. They will be responsible for ensuring that firm business strategies, policies, and programs are developed and applied in full recognition of all legal implications and risks. The General Counsel will also serve as a senior advisor to the Board Chair on governance matters. Essential duties and responsibilities include:

  • Lead Legal Department
o Lead and manage the Legal and Compliance Department inclusive of labor relations, campaign finance compliance, and managing litigation and outside counsel relationships.
o Manage contract administration, oversee the drafting and review of contracts, leases, and partnership agreements.
o Develop innovative strategies on the legal and tax ramifications of ActBlue’s platform and affiliates.

  • Provide Legal Advice and Guidance
o Advise the CEO and provide guidance and oversight as appropriate with respect to ActBlue’s legal risk and obligations and general efficient operation.
o Work closely with other functions, including Finance, People & Culture, Outreach, Communications & Marketing, Customer Service, and Technical Services departments.
o Provide innovative legal solutions to meet program goals.
o Contribute to communications strategies to effectively advise the organization.
o Serve as a broad-based resource for staff legal concerns and collaborate to find practical answers to a diverse range of legal questions associated with ActBlue’s work and operations.

  • Organizational Leadership
o Consult on policy formation and contribute to overall organizational strategy and planning.
o Collaborate with other teams on organization-wide projects.
o Serve as a thought partner for the Executive Team and evaluate new ventures.

  • Manage Legal Risk
o Oversee enterprise-wide risk mitigation strategy; advise on issues that present risk to ActBlue’s reputation, legal and financial condition as a tax-exempt organization.
o Manage risk related to campaign finance, political law, nonprofit governance, employment law, labor law, consumer protection, data & privacy law.

  • Ensure Legal Compliance
o Ensure ActBlue, ActBlue Technical Services, ActBlue Civics (501(c)(4)), and ActBlue Charities (501(c)(3)) compliance with all laws, regulations, and rules enforced by U.S. federal and state and local regulators with particular emphasis on IRS and Federal Election Law.
o Research and advise on various compliance issues including campaign finance reporting, campaign finance compliance, and conflict of interest. Represent the organizations with regulators as needed.

DESIRED QUALIFICATIONS

This is an exciting position for a passionate and experienced attorney with a commitment to working in the nonprofit sector and an interest in joining a dynamic mission-driven organization. Substantively, the position requires an attorney who is a strong generalist and has familiarity with campaign finance and/or non-profit taxation or has the capacity to gain familiarity quickly. Depth of experience in the other legal areas of responsibility listed below is also highly desirable.

In terms of approach, the ideal candidate will be a strong collaborator and able to offer actionable legal counsel to non-lawyers in a variety of disciplines, collaborating with others to devise and implement creative legal solutions in a complex setting. Additional qualities include:

  • 15+ years of generalist legal experience, with a strong understanding of campaign finance and/or nonprofit law.

  • A keen understanding of Democratic electoral politics and/or technology/products.

  • Excellent skills in collaborating and advising across divisions, functions, and geography.

  • Demonstrated commitment and champion for diversity, equity, and inclusion.

  • Strong people management skills and ability to promote a nurturing and inclusive working environment.

  • Intellectual curiosity and the ability to make decisions with deliberation and creativity.

  • Ability to manage the short-term dynamics that require rapid response, while advising on longer term strategy and risk.

  • Comfortable with ambiguity and uncertainty; the ability to adapt nimbly and lead others through complex situations.

EDUCATION

The General Counsel should possess an LLB or JD from an accredited law school.
