About This Role:*

This position will handle the entire contracting process, from contract drafting, through negotiation to final execution.* The Assistant General Counsel will identify and analyze legal issues, present clear recommendations to senior leadership, and assures legal compliance.

Draft/Review/Negotiate/Finalize all manner of contracts including, without limitation: confidentiality agreements, product distribution and supply agreements, material transfer agreements, beta test site agreements, reagent rental agreements, service contract agreements, laboratory reference services agreements, license agreements, collaborative scientific research agreements, consulting agreements, pre-clinical manufacturing and study agreements, Medicaid provider agreements, clinical lab patient service center leases, draw agreements, insurer agreements, original equipment manufacturer agreements, distributorship agreements, contract research organization agreements (preclinical and clinical), HIPAA business associate agreements, regulatory filings, framework agreements, requests for proposals, construction agreements, etc.

  • Provide guidance to and manage junior counsel and legal assistant
  • Act as the primary contact between Enzo and the external contracting party to address contract matters expeditiously and efficiently
  • Responds to inquiries regarding contract obligations while collaborating with Enzo teams and vendors to understand and resolve contractual issues
  • Analyze, review, and track contracts both in process and relative to on-going contractual obligations once contracts have been fully executed
  • Assesses and resolves risk and liability issues as it pertains to contracts
  • Collaborate and provide support on projects within the legal department and department heads to achieve overall business objectives
  • Obtain all appropriate and required internal analyses and approvals for contract terms and entry into contracts
  • Advise business leaders on general compliance matters and take a lead role in compliance investigations working with various company departments
  • Combine legal and technical knowledge with business savvy in order to provide Enzo with high-level impactful guidance and support.

About You:*

Education: JD from an ABA-approved Law School, with good standing with the New York state Bar
Experience: At least 5+ years’ experience in legal or contracts management (preferably in-house in clinical labs/healthcare/life sciences or related industry).
Location: The successful applicant may work remotely, with occasional travel to Enzo’s global headquarters in Farmingdale, NY.
