Associate Counsel

Essential Duties and Responsibilities
- Assists staff at all levels with Kennedy Jenks (KJ) standard contracts; maintains and updates KJ standard contracts.
- Reviews non‐standard KJ contracts and assists in negotiations as needed.
- Prepares and reviews teaming agreements, MOU’s, joint venture and confidentiality/non‐ disclosure agreements, and disclaimers and waivers.
- Reviews all commercial and other contracts (i.e., copiers, vendors, etc.).
- Provides preparation assistance on alternative delivery, including design/build and CM at risk, contracts and contract documents.
- Assists with all corporate, legal and regulatory matters.
- Assists with intellectual property matters, including trademarks, patents, and copyrights.
- Assists with immigration and naturalization matters.
- Reviews and negotiates office leases, amendments, subordinations and attornments.
- Researches and maintains library of legal precedent and references of relevant company issues using Internet legal research programs.
- Assists, as needed, in the selection and preparation of engagement of outside counsel.
- Assists outside counsel in discovery and participates in settlement negotiations.
- Researches state laws related to practice of engineering, geology, construction contracting in each of state where KJ has offices and projects.
- Consults with KJ staff at all levels with questions related to project issues, potential claims, and pending claims.
- Assists with the maintenance and updating of KJ’s standard construction contract documents, specifically related to Divisions 0 and 1.
- Assists KJ staff at all levels with questions related to contractor bidding and services during construction.
- Assists with insurance coverage, claim management, and loss prevention as needed.
- Assists in maintaining KJ workplace safety and construction site safety programs as needed.
- Researches and develops various company‐wide policies as needed (i.e., document retention policy, etc.).
- Assists with legal advice on employment practices manual, general staff issues, internet, e‐mail, privacy and computer security issues, terminations, unemployment claims, recruiting, temporary and placement agreements, offer letters, benefits, domestic partner requirements, disabilities, leaves of absence, wage and hour issues, garnishments, 401(k), and immigration and naturalization.
- Stays current on applicable state, local and federal laws and regulations.
Required Knowledge, Skills and Abilities
- Ability to communicate effectively with a variety of contacts.
- Ability to work successfully in a critical team environment.
- Ability to support multiple projects concurrently in a fast‐paced environment.
- Ability to communicate with tact and respect while interfacing with multiple levels both inside and outside the firm.
- Flexibility and willingness to work on a broad variety of legal matters.
- Willingness to learn and advise in other general law subject matter areas as needed.
- Ability to identify risks and propose alternative structures to mitigate risks.
- Ability to resolve conflict between groups with opposing perspectives, agendas, or priorities.
- Proficient in MS Word, Excel and PowerPoint.
Required Education and Experience
- Juris Doctorate.
- Active license to practice in at least one state.
- Active member in good standing with state bar of at least one state.
- Experience in a consulting environmental engineering and related service firm.
- Experience in drafting, reviewing, and negotiating client contracts.
- Experience with satisfying RFP/RFQ process requirements.
- Minimum of 2 years in a legal or business environment in a counsel capacity.
- Preferred Experience
- Civil litigation.
