DCO Energy, LLC is an independent energy development company specializing in the development, engineering, construction, start up, commissioning, operation, maintenance and management, as well as, ownership of Central Energy Centers (CEC), Renewable Energy projects and Combined Heat, Chilling and Power (CHCP) Production Facilities. DCO Energy is looking for an Associate Corporate Attorney to join our team. This position will ultimately be responsible for providing legal support for Project Development (i.e., Contract Development, negotiations, mergers and acquisitions) and Business Development (i.e., licensing and collaborations) transactions. The candidate is expected to, over time, develop a thorough understanding of the Energy Industry, the Business strategy and grow into the responsibilities described above.
ROLES AND RESPONSIBILITIES
- Draft and negotiate contracts and ancillary documents for M&A, financing, joint venture, technology collaborations/licensing and other corporate transactions (including mergers and acquisitions, strategic equity investments, strategic divestitures, global licenses, collaborations and partnerships and project development).
- Identify and resolve critical legal issues and identify and help resolve critical business issues arising from transactions.
- Act as advising counsel to project development and business development teams.
- Mitigate corporate liability, and risk exposure.
- Oversee and manage the legal due diligence process.
- Partner with Corporate Development and Business Development professionals to ensure strategic alignment in all transactions, escalating matters as appropriate with the judgment to understand when escalation is necessary.
- Work closely with clients’ business and legal personnel in a variety of corporate matters.
- Contribute to highly collaborative culture with effective relationships with peers in the legal department as well as other key functions.
QUALIFICATIONS AND EDUCATION REQUIREMENTS
- 2-5 years of legal Corporate Transactions, contract drafting and negotiations, M&A, Licensing, and Compliance/Risk Mgmt. preferrable. Will consider recently graduated candidates with elective concentration in “Contract Drafting and Negotiation”, “Corporate Compliance and Enterprise Risk Management”, “Corporate Transactions”, “Negotiations” or similar.
- Law degree from recognized university.
- Qualification to practice law in New Jersey or ability to
- Experience drafting and negotiating complex transaction agreements.
- Excellent organizational skills with high-level of attention to detail and accuracy.
- Possess a JD from an accredited law school with a strong academic record.
- Strong analytical, interpersonal, drafting, negotiation, written and verbal communication skills.
- Has excellent interpersonal skills and can successfully manage internal client expectations and can work/operate well with a variety of personalities/capabilities in cross-functional teams,
- Excellent verbal and writing skills and business judgment.
- Ability to communicate effectively with management and senior management personnel.
- Ability to work independently, effectively, and efficiently and perform against corporate objectives.

Pay: $80,000.00 - $100,000.00 per year
