Overview (Scope of Role)
The Corporate Paralegal position has primary responsibility to provide paralegal support to the Company’s Associate General Counsel, including oversight of global entity management and corporate governance, securities and NYSE compliance, assistance with financing and other transactional matters.

Reporting directly to the Associate General Counsel, this position will be affiliated with our Wayne, PA location as hybrid or remote.

Responsibilities:
  • Responsibility for global entity management, including:
  • Preparation and filing of annual and quarterly reports, annual accounts, and financial statements
  • Preparation of board and shareholder resolutions, unanimous consents, powers of attorney, director certificates, and assistance with the preparation and maintenance of corporate minute books and other recordkeeping
  • Oversee board of director appointments and ongoing governance and compliance
  • Coordinate related party compliance for executive officers
  • Working with outside vendors and law firms on entity management issues
  • Maintaining the company’s organizational chart, legal entity management system and corporate records
  • Support of internal teams with entity information, signing authority, board approvals, beneficial ownership information, know-your-customer information, or other requests
  • Section 16 compliance, including preparation and filings of forms with EDGAR, maintaining ownership records and EDGAR codes for the Company’s officers and directors
  • Legal support for the Company’s equity plan administration
  • Assist with intercompany transactions and related documentation, coordination of corporate transaction closings, and other commercial, compliance, and treasury and financing activities or other research assignments, as needed
  • Support due diligence and closing processes for financing and other critical transactions, as needed
Required Educations, Skills & Experience
  • College degree and/or Paralegal certification
  • 5 or more years of global corporate governance/entity management experience at a publicly traded company
  • Familiarity with corporate service providers and subsidiary management systems
  • Microsoft Office applications
  • Adobe PDF
