We are looking for a multi-talented Deputy General Counsel to become an integral part of the Samba legal team. This is a breakout role for someone looking to broaden and deepen their skillset, and learn how to run the legal department at a tech company.
You will assist the General Counsel and all stakeholders in the company with all things legal, as well as many things business and finance. You will take charge of commercial contracts - drafting, reviewing, and negotiating a wide variety of agreements, including data and advertising deals and licenses with complicated revenue structures, DPAs, NDAs, OEM and partnership deals, LOIs and MOUs. You will work closely with sales, finance, product and engineering to ensure deals are consistent with the Samba’s overall goals. You will supervise our senior paralegal to make sure that agreements are organized, filed, and tracked through our contract management system. You’ll be a key member of our corporate and business development function, helping to manage our equity and capitalization, and lead fundraising and M&A deals. You’ll provide key support for our HR team – advising on employment law developments, reviewing/revising employee handbooks and hiring documents, and preparing severance agreements. You’ll be involved in our privacy and information security program, helping to set policy and ensure compliance with state, federal, and international laws. You’ll help manage our outside counsel on litigation and corporate governance matters, and help keep our international subsidiaries compliant with regional corporate governance requirements.
This role is for a self-starter who can work with minimal supervision and is looking for the opportunity to grow their career by taking on significant responsibility. You’ll be part of a small legal department where your skills growth will only be limited by your own goals.
Requirements/Responsibilities:
- JD from a US law school
- Admitted to practice law in the United States and eligible to practice law in-house
- 6+ years experience as a practicing attorney
- Significant contract drafting and review experience
- Demonstrated expertise in corporate and business development activities
- Ability to work in a fast-paced and evolving environment
- Outstanding written and oral communication skills
- Ability to balance risk against business needs
- Ability to build collaborative relationships with leaders and co-workers at all levels.
Nice to Have:
- Extensive experience negotiating with opposing counsel and working with internal stakeholders to close deals and further the company’s interests
- Technical knowledge of web and internet services, ideally internet advertising and data flows
- Understanding of the TV, Media, Entertainment, & Advertising Spaces
- Working of knowledge of data privacy laws, regulations, and issues (GDPR, CCPA/CPRA, privacy-by-design)
- Litigation, compliance, operations experience
Samba TV expects to offer a base salary between $250,000 - $280,000 USD per year for roles to be performed in New York City or California; actual base salary offered will depend on various factors including but not limited to location, experience, and performance. Base salary is just one component of Samba TV’s total compensation package for employees. Other rewards may include bonuses, short-term incentives and long-term incentives.
