Director, Contracts & Compliance Job at Parchment LLC
The Director of Contracts and Compliance, will provide contract life-cycle management and support to the organization to include preparation and negotiating software license and service agreements in support of a global sales organization and ensuring compliance of legal terms and conditions by customers. Also responsible for reviewing and red-lining NDA’s; SOW’s, MSA’s, SaaS Agreements, IT Agreements, Vendor Contracts, etc. This includes regularly working across internal corporate functions with sales, technical and product personnel, and central corporate functions on contract matters and on drafting and negotiating contracts.
Primary Responsibilities
- Reviewing, analyzing, red-lining, editing, drafting and negotiating contracts and agreements. routinely exercising discretion and independent judgment
- Reviewing and resolving issues affecting company compliance and ensuring satisfaction of legal requirements, appropriately balancing Parchment and customer objectives
- Advising sales management of contractual rights and obligations and providing clarification of contract terms and conditions
- Interpreting contract policies, operating practices, and performance standards within contracts.
- Maintaining, organizing, and working through a queue of contracts while practicing prioritization and efficiency
- Responsible for contractual information in the CRM and CLM system, finalization of terms, and internal deal management after signature
- Aid in the management of contractual term libraries and playbooks
- Work with internal stakeholders to enhance the contract process and related automations
- Reporting on contract analyses (i.e. legal risks) and reviewing contract compliance with company policy.
Required Qualifications
- Bachelor's Degree in Business or related discipline. JD is desirable.
- 5+ years of experience that relates to the drafting and negotiation of agreements
- Understanding of the development, negotiation, and execution of contracts
- Experience with reviewing RFP related contract requirements and identifying potential risks to Parchment
- Ability to identify and implement new and scalable processes
- Desire to succeed in a customer service-oriented environment
- Highly efficient and organized; ability to handle multiple tasks with ease and professionalism
- Ability to be proactive, prioritize, and work under tight deadlines in a service-oriented and sales-driven environment
- Ability to work quickly but be highly detail-oriented
- Proven analytical and written and oral communication skills
- SaaS experience highly desirable
- Experience working in Ed Tech or with Universities and K12 institutions a plus
Salary Range: $140,000 - $175,000 - $210,000
