SUMMARY: The General Counsel will lead the company’s legal function and have primary oversite and accountability for the company’s global legal compliance. The General Counsel will operate as a trusted partner and provide legal advice to the Company’s senior leadership team, the Board of Directors, and other key personnel on a broad range of legal and compliance matters. Working with both internal and external resources, the General Counsel will address and resolve complex legal and business issues confronting this fast-growing medical device company.,
ESSENTIAL DUTIES AND RESPONSIBILITIES include the following; other duties may be assigned:
- Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.
- Support the company for all general corporate matters and work on commercial transactions with respect to customers and employees.
- Manage compliance and governance activities, including legal entities, government filings, Board proceedings, internal transfer pricing agreements, patents, trademarks, copyrights, and trade secrets.
- Support the continuous improvement of standard form commercial agreements, the development of internal policies and procedures and develop and provide training to business and sales groups.
- Draft, review and negotiate a variety of complex, multi-party commercial transactions including agreements for medical device development and licensing, supply, distribution and consulting agreements.
- Communicate effectively; conduct non-adversarial, win-win negotiations.
- Oversee risk management and litigation with external insurance partners.
- Work independently but collaboratively as part of a fast-paced executive management team.
- Provide support and assistance to all business areas on legal issues.
- Partner with, maintain relationships and creatively manage outside counsel and legal advisors, and coordinate provision of legal advice.
- Link legal needs with all other departments, and anticipate their requirements.
- Advise internal sales and services clients about contractual rights and obligations and solutions for contractual-business issues.
EDUCATION AND/OR EXPERIENCE:
- J.D. with strong academic record; active member of a state bar.
- Five or more years legal experience (preferably both with a firm and in-house) reviewing, drafting and negotiating complex commercial (and international) contracts of all levels and values across all areas of business, including intellectual property and licensing, service and supply agreements, purchase, distribution and vendor transactions.
- Experience in the medical device and/or contract manufacturing industry ideally with supply chain or distribution/OEM preferred.
- Experience in handling employment matters, preferred.
- Proven ability to develop strong working relationships with multiple functional groups – commitment to professionalism and collegiality is required.
- Experience working/coordinating with outside counsel on M&A transactions.

- Must have well-honed analytical skills, superior oral and written communications skills.
