Job Title: Executive Vice President, General Counsel and Secretary (C-Level role)

Location: While the company headquarters is located in Phoenix, Arizona and there are other offices across the country including in New Jersey, Maryland, Missouri, Wisconsin and Texas, work arrangements are flexible, including the option to work remotely with periodic travel

Compensation: Highly competitive base salary plus annual incentive bonus and equity through participation in Management Incentive Plan, all commensurate with experience

Responsibilities: The job offers a diverse portfolio across a number of areas including:

1)SEC reporting and compliance

2)Corporate secretary – prepares board and committee resolutions, minutes, and meeting materials; manage all aspects of the company’s corporate governance

3)Transactional – Debt and equity capital raises and future M&A opportunities

4)“Day to day” trucking operations – litigation management, regulatory compliance oversight, employment law matters, and other operationally-driven legal issues

5)Other corporate transactions, contract analysis and review and general legal responsibilities

6)Oversee the selection, management, and evaluation of outside counsel

The ideal General Counsel does not need to be an expert in all of the above areas, but comfortable quarterbacking efforts with outside counsel as appropriate and/or researching, analyzing and solving workstreams.

The General Counsel will be a C-level executive who participates in all executive meetings and exchanges. The ideal candidate will take an interest in business issues and have the opportunity to participate in higher level strategy and business matters.

Other: Candidate will have the opportunity to hire a junior lawyer or paralegal of their choosing within budgetary requirements

Position Requirements:

• Juris Doctorate Degree from an ABA accredited law school and State Bar membership
• A minimum of five years of relevant experience
• Experience as an in-house lawyer and/or working at a law firm
• Excellent business judgment and strong negotiation skills
• Ability to manage multiple projects simultaneously and meet competing deadlines Ability to work both independently and on teams
• Strong oral and written communication skills, including the ability to communicate complicated legal concepts to non-lawyer audiences
• Strong customer service mindset

Preferred Qualifications:

• Freight/trucking industry experience
• In-house experience
