We are actively seeking a Junior Corporate Governance Attorney located in Houston, TX with the following experience:

  • Assisting with the management of subsidiary board meeting logistics, attend and record minutes of board meetings and facilitate board communications, and serve as a focal point for those entities;
  • Advising the respective Board on its roles and responsibilities;
  • Facilitating the orientation of new Directors and assist in Director training and development;
  • Assisting with the maintenance of key corporate documents and records;
  • Responsible for corporate disclosure and compliance with state corporation laws;
  • Supporting stock issuance and stock transfers; stockholder correspondence; preparing and distributing proxy statement;
  • Managing process pertaining to the annual shareholder meeting (largely a paper process);
  • Subsidiary management and governance;
  • Monitoring corporate governance developments and assist the Board in tailoring governance practices to meet the Board's needs and shareholder(s) expectations.
  • Willingness to commute/work onsite in Houston-Woodcreek campus at least two days a week when team is on site.
  • JD Degree.
  • Active TX bar license in good standing.

Pay: $90.00 - $115.00 per hour
