Billion $$$ global investment/insurance co. seeks degreed entrepreneur with 3+ years experience as paralegal in a corporate or private equity firm. Responsible for preparing and coordinating the submission of all investment documents, as well as maintaining corporate documentation of onshore and offshore investment subsidiaries, project management, and administration of the legal investments team, and will work closely with the corporate Investment, Tax, Treasury and Private Equity teams to coordinate legal matters. Coordinate legal support for investment activities including the private equity, private debt, direct, real estate, alternative, and proprietary investment portfolios. Coordinate and serve as liaison for legal matters relating to investments with the Corporate Investments, Tax, Treasury, and other internal departments, and other members of the Office of the General Counsel. Complete and submit subscription documents, side letters, AML/KYC documentation, and other required forms for domestic and international investments. Coordinate the governance and investment transaction documentation from Investment Committee approval to closing and manage post-closing items and ongoing maintenance. Manage pre- and post-closing KYC/AML requests for fund investments, real estate investments, bank account openings and miscellaneous transactions. Coordinate with internal Registered Investment Advisor and support their investment and governance needs. Maintain authorized signer lists and support Treasury Department on bank account governance and investment policies. Provide corporate governance and legal entity management support for onshore and offshore corporate investment holding companies. Prepare corporate governance documentation, including written consents, board and committee agendas and meeting minutes, and mandatory annual filings such as beneficial ownership registers and economic substance declarations. Form new domestic and international entities by preparing and filing formation certificates and drafting governance documents, including articles of incorporation and operating agreements. Assist with entity database and board portal maintenance. Coordinate execution and delivery of transaction agreement, board resolutions and supporting legal documents. Ability to interact with all levels of the organization. Strong analytical, project management, organizational, communication and the ability to prioritize workload to meet deadlines in a fast-paced, dynamic environment. Microsoft Office Suite. Visio and DocuSign experience a plus.
