Description/Job Summary

The Conflicts Attorney is responsible for assisting the Chief of Global Conflicts & Legal Ethics with the management, control and direction of specifically assigned functions within the Conflicts & Legal Ethics department supporting the Firm's critical risk management function, acting as a resource and managing functions regarding all areas of conflicts of interest inherent in a large global law practice. This role facilitates new matter and new client intake scenarios, decision-making and resolution for attorneys Firm-wide by conducting conflict-of-interest research, accurately identifying potential conflicts for new clients, new business matters, lateral attorneys, and preparing any necessary conflicts waivers and engagement letters to address conflicts issues identified, and liaising with Partners and clients with respect to obtaining such conflicts waivers as necessary. The Conflicts Attorney supervises the Conflicts Analysts in the preparation of quarterly partner restricted list audits and the preparation of daily, weekly and monthly client matter reports to the Partners.

Responsibilities/Duties

  • Respond to Partner Conflict inquiries on a Firm-wide basis; interface with Partners and Associates to confirm the status of existing or pending transactions and resolve identified conflict issues
  • Manage conflict research process and procedures ensuring potential conflicts are quickly and accurately identified and resolved and conflicts are cleared for new matters and new clients Firm-wide
  • Review and analyze conflicts of interest and monitor processes with respect to new clients and matters and lateral attorneys
  • Assist in supervision of conflicts of interest and new client and new matter intake
  • Facilitate resolution of potential conflicts problems for attorneys Firm wide
  • Develop expertise on conflicts rules and approaches in specific practice areas and possess and maintain knowledge of conflicts rules in New York; assist in projects on non-New York based conflicts rules
  • Advise attorneys on conflicts rules and assist in adherence to such rules and Firm policies when drafting, reviewing and coordinating client engagement and conflict waiver letters
  • Participate in lateral lawyer intake process as it pertains to conflicts
  • Assist with communicating Firm policies and procedures relating to conflicts and intake and make recommendations for changes when appropriate
  • Assist in training Firm personnel in conflict of interest rules and procedures as requested by Chief of Global Conflicts & Legal Ethics
  • Supervise Conflicts Analysts with respect to daily, weekly and monthly client reports to partners
  • Supervision the establishment and maintenance of formal ethical screens
  • Supervise the maintenance of the Firm's restricted list and the clearance of all purchases and sales of securities by Firm personnel and partners
  • Perform other duties as assigned

Required Skills

  • Relevant legal experience at a peer law firm or as an in-house attorney required
  • Proficient knowledge of large firm practice areas: financial organizations -banking and capital markets, private equity firms and other business organizations
  • Ability to identify parties involved, define relationships (client relationships and adverse parties) and resolve actual and potential conflicts of interest within various types of legal transactions
  • Proficiency in internet research, Hoovers, Dun & Bradstreet, Thomson and other corporate databases
  • Ability to research corporate ownership/SEC filings to determine shareholders and substantial owners of target companies and other adverse parties
  • Ability to handle multiple complex situations, organize, prioritize, plan, adapt quickly to changes in workflow and multi-task work activities in a high pressure environment
  • Demonstrated good business judgment and analytical skills are essential
  • Ability to research and understand complex corporate relationships and determine how proposed relationship relate to the Firm's existing engagements
  • Ability to work independently while using sound judgment, initiative, and discretion
  • Demonstrated ability to maintain confidential and sensitive data
  • Ability to work effectively with all levels of personnel in a global market with tact and diplomacy
  • Ability to communicate professionally, clearly, concisely, and diplomatically both verbally and in writing and articulate legal relationships and the nature of representations
  • Ability to analyze and summarize conflict situations, articulate potential issues, and suggest resolutions to attorneys as required
  • Ability to learn and utilize specialized internal conflict checking software and multiple software applications and workflow processes of various departments
  • Ability to apply both logical and common sense understanding to carry out a variety of instructions furnished in written, verbal, and diagram forms.
  • Proven analytical and organizational skills with the ability to provide a quality, accurate, and efficient work product in a high-volume environment.
  • Strong project planning, management and execution skills
  • Must be flexible in order to respond quickly and positively to shifting demands

Salary Information

The estimated base salary range for this position is $180k to $275k at the time of posting. The actual salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job. This role is exempt meaning that it is not overtime pay eligible.
