The Position*
Reporting directly to and working closely alongside the Executive Vice President, General Counsel, and Corporate Secretary (“General Counsel”), and a core member of the legal team, the corporate counsel will support Holley’s General Counsel as a jack of all trades in providing legal support to all functions of the Company. Located at Holley’s headquarters in Bowling Green, KY, this is a fantastic opportunity for an experienced attorney with strong business acumen to actively manage commercial matters, mergers & acquisitions, employment matters, product liability matters, and privacy matters, and closely support the General Counsel in managing corporate governance, SEC reporting, compliance, and litigation matters.

Responsibilities*
- Handle and manage a diverse variety of legal matters arising out of Holley’s operations, which shall include, but not be limited to, commercial matters, mergers & acquisitions, employment matters, product liability matters, and privacy matters.
- Support the General Counsel in managing the corporate governance function. Assist in preparing Board Meeting materials and corporate filings.
- Review, draft and negotiate a wide variety of agreements, such as asset purchase agreements, licensing, manufacturing, nondisclosure, distributor, and service and supply agreements.
- Advise senior management on commercial transactions, including mergers and acquisitions, divestitures and joint ventures, and draft, review and negotiate the attendant agreements.
- Provide counseling and guidance on appropriate risk allocation for strategic and core business transactions.
- Proactively and cost effectively manage outside counsel, which shall include employment, privacy counsel, and other specialty firms as required.
- Conduct legal analysis and provide counsel on laws, rules, regulations, and policies related to Holley’s interactions in the U.S. and globally, including but not limited to privacy issues. Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, compliance, and other legal areas.
- Perform special projects as assigned from time to time by the General Counsel and as needed to best support the Company.

Qualifications*
- A J. D. from an accredited law school, with proven academic success.
- At least five years broad relevant generalist commercial law experience, preferably in public company setting, with proven experience in all areas of commercial law and transactions, including reviewing, drafting and negotiating a wide variety of complex agreements, such as purchase, sales, nondisclosure, distributor, and service and supply agreements. Experience in a manufacturing strongly preferred.
- Strong business acumen and the ability to understand Holley’s business, to quickly focus in on the aspects of a transaction or litigation that matter the most to the businesses, and be proactive in addressing potential issues.
- Proven ability to evaluate, draft, review and negotiate merger and acquisition agreements, and drive transactions to closing.
- Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, communication skills, and personal style.
- Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility.
- Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
- Proven success in managing, organizing, and/or completing multiple tasks and priorities. Ability to thrive in a fast-paced and changing environment.
- Creativity, flexibility, and resourcefulness, with a bias toward well-informed action.
- License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Kentucky.
