The Corporate Counsel will be responsible for performing a broad range of functions to support a growing legal department and support key commercial functions across the organization. Reporting to the Deputy General Counsel, the Corporate Counsel will administer and maintain compliance programs, and advise stakeholders across the Company on relevant regulatory and compliance matters. The role will also directly support business stakeholders across commercial functions depending on the needs of the business, which may include negotiating a wide range of commercial contracts, advising business and sales teams on intellectual property, employment, litigation, privacy and other matters.

Strong initiative and an ability to take ownership over projects are essential for this job. The ability to maintain confidentiality and to operate in the role with the highest of ethical standards and professionalism are required.

Responsibilities:

  • Manage, update and maintain internal compliance program and measures across organization, including evaluating, writing and submitting data for reports to regulatory bodies as needed.
  • Manage and maintain progress and incident reports for management and Board of Directors.
  • Manage and maintain process to monitor and notify compliance obligation owners to ensure timely completion of key compliance obligations, including preparing and conducting regular training sessions for team members throughout the organization.
  • Maintain current and up-to-date knowledge of applicable laws, regulations and standards to ensure organizational adaptation and compliance.
  • Prepare, review, edit, negotiate, and manage a wide variety of commercial agreements.
  • Assist in developing and maintaining contract automation and management systems, and support continuous improvement projects to contract templates, processes and systems.
  • Support legal department and outside counsel in providing legal advice and services involving intellectual property issues including copyright, trademark and related matters.
  • Manage outside counsel on litigation matters.
  • Support legal department and functions in various projects such as mergers and acquisitions and internal reorganization activities.

Requirements:
  • Juris Doctor degree.
  • Exceptional organization skills and strong attention to detail.
  • Passion and strong desire to learn new subject matters and areas of law.
  • Excellent written and oral communication skills.
  • Strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels in and out of the organization.
  • Ability to effectively communicate, collaborate and deliver an excellent work product in a fast-paced, and rapidly growing dynamic company.
  • Ability to work independently and manage multiple projects simultaneously.
  • Creative problem-solving skills and positive attitude.
