Vacancy: Corporate Secretary (Part time)
Applications are invited from suitably qualified, goal-driven, and enthusiastic persons to fill the position of Corporate Secretary at the Bank of Montserrat Limited on a part-time basis.

Job Purpose
The Corporate Secretary of the Bank is expected to play a leading governance role by providing advice and counsel on Board responsibilities, logistics, and statutory requirements. The successful candidate will also be responsible for planning, preparing, and documenting all meetings of the Board of Directors, its sub-committees, and Shareholders’ meetings.
Key Responsibilities:
i. Oversee the governance framework of the Bank of Montserrat Ltd.
ii. Know the relevant provisions of the Bank’s by-laws and the Companies Act that are applicable to the deliberations of the Board and Shareholders.
iii. Set and manage the meeting agendas for the Board, its sub-committees, and Shareholders, including aligning notice requirements for meetings.
iv. Manage the production, delivery, and retention of Board materials and presentations.
v. Record minutes and action items arising from meetings of the Board, its sub-committees, and Shareholders. Ensure that such documents are recorded in a manner that assures accountability and reflects sensitivity to special items or circumstances, without creating additional legal liability.
